Bain Capital eyes first India general insurance bet, in talks for up to 25% in IndusInd Insurance
Mumbai: US private equity major Bain Capital is in advanced discussions to buy up to 25% stake in IndusInd General Insurance in a deal that could value the insurer at Rs 16,000 crore or more, people familiar with the matter said.
The acquisition from Hinduja Group’s Mauritius-based investment arm IndusInd International Holdings (IIHL), if concluded, would mark Bain’s first direct bet in India’s general insurance sector. Bain is expected to invest 4,000- 5,000 crore for the stake, valuing the company 1.3-1.7 times its gross written premium (GWP) of around 12,000 crore, people cited said.
Bain has completed financial, legal and operational due diligence and the deal is expected to be signed by August-end or early September. “Discussions are now centred on valuation and the final commercial terms,” one of the persons said.
Bain is said to see the investment as a medium- to long-term play.

This is as opposed to a financial investment aimed at a quick exit, said people involved in the discussions. “They are not looking at exiting in two or three years. They see significant operational upside in the franchise,” one person said. Barclays is advising IIHL on the proposed stake sale, the people said.
Emails sent to IIHL, Bain Capital and Barclays seeking comment remained unanswered until press time on Sunday. Unlike listed peers, which command valuations of around three times their gross written premium (GWP), IndusInd General Insurance is expected to be valued at a discount because it requires operational improvements.

“The company has a strong franchise but still requires work. That is why the valuation is closer to one-and-a-half times the top line rather than where listed players trade,” the person cited above said. The insurer reported a 2.5% decline in GWP to 12,236 crore in FY26, compared with 9% growth for the overall general insurance industry.
Its market share stood at 3.64% as of March 2026. It operates across retail, commercial and crop insurance. It has been moving towards growing the health and fire segments for the last one year.
IndusInd General Insurance raised Rs 450 crore in March 2026 Rs 300 crore of subordinated debt and a 150 crore capital infusion from its parent – to strengthen its solvency position, which stands above 1.60 times.
The promoters infused more than Rs 300 crore into the business until March, according to a Care Ratings report.
The Boston-headquartered Bain manages around $225 billion in assets globally across private equity, credit, venture capital, real estate and other alternative assets.
In India, it has built a financial services portfolio through investments in companies including Axis Bank, 360 ONE WAM (formerly IIFL Wealth), Adani Capital, Adani Housing, L&T Finance and Manappuram Finance.
At present, IndusInd International Holdings, through Reliance Capital, holds 73.98% in IndusInd General Insurance, while Aasia Enterprises LLP owns 24.67%.
The remaining is held by employees and others. IIHL acquired Reliance Capital through the insolvency resolution process in March 2025 with a resolution plan of Rs 9,650 crore, bringing under its fold Reliance General Insurance, Reliance Nippon Life Insurance, Reliance Securities, Reliance Asset Reconstruction and other financial services businesses.
